Removal of Director (Voluntary Resignation)

Plan Overview

A Director may choose to resign voluntarily from the company. As per Section 168 of the Companies Act, 2013, the director must submit a written resignation, and the company is required to file it with the ROC.

Process

Step 1
Director Submits Resignation: The director submits a signed resignation letter to the Board.
Step 2
Board Meeting: Conduct a Board Meeting and pass a resolution to accept the resignation.
Step 3
Acknowledge Resignation: Provide an official acceptance and update internal records.
Step 4
File Form DIR-12: The company must file the resignation with the ROC within 30 days.
Step 5
(Optional) File Form DIR-11: The resigning director may file DIR-11 with the ROC to ensure their disassociation is officially recorded.
Step 6
Update Registers: Update the Register of Directors and key managerial personnel.
