Plan Overview

Process

Step 1
Check the AOA: Ensure the company’s Articles of Association permit the appointment of an Additional Director.
Step 2
Obtain DSC and DIN: If the proposed director does not have a DIN, apply for one along with DSC.
Step 3
Hold Board Meeting: Pass a resolution for appointment of the Additional Director.
Step 4
Consent & Declaration: Obtain DIR-2 (Consent) and DIR-8 (Non-disqualification) from the appointee.
Step 5
File Form DIR-12: File the appointment with the Registrar of Companies (ROC) within 30 days.
Step 6
Update Registers: Make entries in the company’s Register of Directors and other statutory registers.
